SEC says tokenization doesn’t remove the need to follow securities laws

The U.S. Securities and Exchange Commission (SEC) is sending a clear message to the crypto market: just because you put a traditional financial instrument on a blockchain doesn’t mean you can ignore securities laws.

In a staff statement published Wednesday, the SEC’s Divisions of Corporation Finance, Investment Management, and Trading and Markets said they want to give market participants clearer guardrails as tokenization moves from pilot projects to real-world products.

The statement defines tokenized securities as instruments that are already legally securities but presented as crypto assets, with ownership recorded partly or entirely on a blockchain. In other words, the tech may be new, but the legal obligations are the same.

Two Main Approaches to Tokenization

The SEC breaks tokenization into two broad categories:

  1. Issuer-led tokenization – Here, the company or its agent ties blockchain transfers directly to official shareholder records. Essentially, the blockchain acts as a fancy ledger, but the issuer still has the same reporting and legal responsibilities as before. Some models also let tokens trigger off-chain updates to official records. Either way, the underlying security and its legal treatment stay intact.

  2. Third-party tokenization – This is trickier. In this model, an unaffiliated firm creates a token tied to someone else’s security. These arrangements vary widely and can bring extra risks, including exposure to the third party’s financial health, like bankruptcy—risks direct holders of the underlying security don’t face.

    Within third-party tokenization, the SEC notes two common types:

    • Custodial tokenization: The underlying security is held in custody, and the token represents an indirect claim or entitlement.

    • Synthetic tokenization: The token represents the third party’s own instrument tracking the underlying security, similar to a security-based swap, which carries its own legal requirements.

The key takeaway: wrapping a security in a token doesn’t remove it from existing market rules. For example, offering security-based swaps to those who aren’t eligible contract participants can trigger registration and exchange-trading obligations.

Why It Matters

This guidance comes as major players experiment with tokenized securities inside regulated frameworks. Last week, F/m Investments filed with the SEC to record ownership of tokenized shares of its Treasury bill ETF on a permissioned blockchain, highlighting the industry’s push for faster settlement and 24/7 functionality without sidestepping investor protections.

The SEC emphasizes that this statement isn’t a green light—it’s a road map for compliance. Firms are encouraged to work with the agency as they prepare filings, proposals, or requests for action.

In short: tokenization is exciting, but it doesn’t change the rules. Blockchain can make ownership easier or faster to track, but the legal responsibilities remain firmly in place.
